Comprehensive Terms of Service

These Terms govern your access to and use of the CodeMatic website, software, and IT services. By using CodeMatic, you agree to the provisions below.

1. Definitions

  • Service: Any website, software, API, development, consulting, DevOps, cybersecurity, or IT-related offering by CodeMatic.
  • Client / You: Any user or entity using or purchasing our services.
  • Deliverables: Software, documentation, designs, code, or materials provided as part of the Service.

2. Eligibility

You must be at least 18 years old, have legal capacity, use the Service lawfully, and provide truthful and accurate information. We may refuse or revoke access at our discretion if eligibility requirements are not met.

3. Use of Services

You agree not to:

  • Violate any applicable law using our services.
  • Attempt unauthorized access, reverse engineering, or modification of internal systems.
  • Disrupt, overload, or harm the platform or associated infrastructure.
  • Store unlawful, harmful, or infringing data.
  • Launch malicious code, spam, or automated attacks.

Violations may result in suspension or termination without refund, and may expose you to civil or criminal liability.

4. Project Agreements & Scope

  • Custom software or development work is governed by a separate written agreement or quotation.
  • Scope, timelines, pricing, and deliverables are defined in that agreement, and work begins after confirmation and payment arrangements.
  • Changes requested after kickoff may require a change order and adjusted fees or timelines.

5. Intellectual Property

5.1 CodeMatic Retains Ownership

Our internal tools, frameworks, libraries, methodologies, and background IP remain the property of CodeMatic. Custom code and deliverables remain our property until invoices are paid in full.

5.2 Client Usage Rights

Upon full payment—and unless otherwise agreed in writing—you receive ownership or an irrevocable license to use the bespoke deliverables within your organization.

5.3 Third-Party Licenses

Open-source and third-party components remain subject to their respective licenses.

6. Payments & Billing

  • Invoices are payable within the stated due date; late payments may incur administrative fees.
  • Services may be paused, delayed, or terminated if invoices remain unpaid.
  • All prices are exclusive of VAT unless explicitly stated.
  • Subscriptions or retainers renew per their plan terms, and pricing changes will be communicated with reasonable notice.

7. Confidentiality

Both parties agree to keep all business, technical, security, or personal information exchanged in connection with the Service strictly confidential, using it solely to fulfill contractual obligations.

8. Disclaimer & Limitation of Liability

8.1 No Guarantee of Uninterrupted Service

We do not guarantee zero downtime, zero bugs, or compatibility with every third-party system.

8.2 Third-Party Services

We are not responsible for failures caused by cloud providers, hosting services, payment processors, APIs, or external tools outside our control.

8.3 Maximum Liability

To the fullest extent permitted by law, our total liability for any claim is limited to the fees paid for the specific service during the 12 months preceding the event. We are not liable for indirect, incidental, consequential, or punitive damages, lost revenue, data loss, business interruption, or security incidents caused by third parties or client negligence.

8.4 Cybersecurity & AI Services Disclaimer

These services reduce risk but cannot guarantee complete protection. Clients remain responsible for their own access controls, password hygiene, compliance obligations, and ongoing monitoring after delivery.

9. Termination

  • We may terminate or suspend access for non-payment, breach of these Terms, or security risks.
  • All outstanding invoices remain due upon termination.
  • Access to systems may be revoked and deliverables may be withheld until payment issues are resolved.

10. Data Protection

Use of our services is subject to our Privacy Policy, which explains how we collect, use, and protect personal data.

11. Governing Law

These Terms are governed by Belgian law. Parties agree to the exclusive jurisdiction of the courts of Antwerp, Belgium, unless another forum is mandated by applicable law.

12. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email or in-app notice. Continued use of the services after updates constitutes acceptance of the revised Terms.
